In CA Intermediate, the Corporate and Other Laws paper stands out to be one of the crucial subjects as it emphasises on the fundamentals related to the organisational and legal framework by the Ministry of Corporate Affairs (MCA), a regulatory body of all companies. A Chartered Accountant must have knowledge of the legal framework and have an ability to influence or set up a legal environment in business. This paper intends to make students aware about the legal provisions of the selected laws and to analyse and apply the related provisions addressing the issues in modern scenarios. The subject is divided into 2 parts. The first part is Company Law which focuses on important topics like Incorporation of Company, Prospectus, Share Capital, and Audit and Auditors, and discusses the various compliance procedures a director needs to fulfil. The second is Other Laws which focuses on concepts such as the Indian Contract Act, Negotiable Instruments Act and other acts and related concepts.

Section wise-weightage of CA Intermediate – Company Law:

Company Law is divided into 3 sections:

Section 1 consisting of chapters like Preliminary, Incorporation of Company and Matters Incidental Thereto, Prospectus and Allotment of Securities, Share Capital and Debentures account for almost 30% to 40% of this section of the paper.

While in Section 2, you can see chapters like Acceptance of Deposits by Companies, Registration of Charges, Management and Administration which carry a weightage of 30% to 40%.

Lastly, Section 3 comprises 3 chapters such as the Declaration and Payment of Dividend, Accounts of Companies, Audit and Auditors.

5 Things you need to take care of while studying for the Corporate and Other Laws paper:


1. You need to first emphasise on some important introductory chapters starting from Preliminary, Incorporation of Companies and Prospectus which will help you to understand the basics and build a context to understand upcoming chapters in a better manner.

2. After you learn all the fundamental concepts, the very next chapter you need to focus on is Accounts of Companies, where you will learn how the accounting of a company works and what compliance procedures should be followed.

3. In Company Law, you need to understand the most important topic, i.e. Audit and Auditors.

4. In Other Laws, the Indian Contract Act, 1872, is the easiest and scoring, as we can trace its existence and learning from the CACPT/Foundation course.

5. Lastly, go through the small but scoring topics of other acts in the course including Negotiable Instruments Act, 1881, The General Clauses Act, 1897, and Interpretation of Statutes, Deeds and Documents.
